CORPORATE WORLD Clause 49 of Listing Agreement on Corporate Governance —Dilip Kumar Sen SEBI has revised Clause 49 of the Listing Agreement pertaining to corporate governance vide circular dated October 29, 2004, which supersedes all other earlier circulars issued by SEBI on this subject. The article highlights important changes in the corporate governance norms. C lause 49 of the Listing Agreement, which deals with Corporate Governance norms that a listed entity should follow, was first introduced in the financial year 2000-01 based on recommendations of Kumar Mangalam Birla committee. The Murthy committee, after holding three meetings, had submitted the draft recommendations on corporate governance norms. After deliberations, SEBI accepted the recommendations in August 2003 and asked the Stock Exchanges to revise Clause 49 of the Listing recommendations and the same was put up on SEBI website on 15th December 2003 for public comments. It was only on 29th October 2004 that SEBI finally announced revised Clause 49, which will have to be implemented by the end of financial year 2004-05. These revised recommendations have also considerably diluted the original Murthy Committee recommendations. Areas where major changes were made include: ? Independence of Directors ? Whistle Blower policy ? Performance evaluation of nonexecutive directors ? Mandatory training of non-executive directors, etc. The changes in corporate governance norm as prescribed in the revised Clause 49 are as follows: A. Composition of Board The revised clause prescribes six tests, which a non-executive director needs to pass to qualify as an Independent Director. The existing requirement is that to qualify as an Independent Director, the director should not have, apart from receiving director’s remuneration, any other material pecuniary relationship or transactions with the company, its promoters, its management or its subsidiaries, which in the judgment of the Board may affect independence of judgment of the director. This requirement finds place in the revised clause also Agreement based on Murthy committee recommendations. This led to widespread protests and representations from the Industry thereby forcing the Murthy committee to meet again to consider the objections. Further the Board is no longer required to judge the independence status of a director as at present. Five new clauses have been added to determine independence of a director. These are: (i) He is not related to promoters or persons occupying management positions at the board level or at one level below the board; (ii) He has not been an executive of the company in the preceding three financial years; (iii) He is not a partner or an executive or was not partner or an executive during the preceding three years of (a) the statutory audit firm or the internal audit firm that is associated with the company; and (b) the legal and consulting firms that have a material association with the company. iv) He is not a material supplier, service provider or customer or a lessor or lessee of the company, and (v) He is not a substantial shareholder of the company owning two percent or more of the block of voting shares. The new tests of ‘independence’, the readers would recall, were mostly included in the Companies (Amendment) Bill, 2003. The important and practical change that has no w been made is addition of the word ‘material’ in item (iv) above. Without use of the word ‘material’, technically even a single supply or purchase by the director to or from the company would have taken away independence status if he/she was otherwise eligible. However, the word ‘material’ has not been defined. Nominee directors of Institutions are now to be considered as ‘Independent Director’. While on the subject of Independent Director one must remember that no one is invited to join a board to act as a nonexecutive director unless he/she is well known to the Promoters or the Chairman or the Managing Director. All non-executive directors, whether or not independent, need support of Promoter Group for their reelection. Listed companies will now need to obtain prior approval of shareholders for payment of sitting fees to directors. Unless the Government is contemplating to change the law and bring sitting fees within the ambit of Managerial remuneration this contradiction should have been avoided. (v) Role of the Audit committee has been enlarged to include (a) matters required to be included in Directors’ Responsibility statement; (b) to review the functioning of Whistle Blower mechanism if the same is existing and (iii) review of performance of statutory and internal auditors. vi)The Audit committee will also mandatorily review (a) Management Discussion and Analysis of Financial condition and results of operations; (b) statement of significant related party transactions; (c) Management letters/letters of internal control weaknesses issued by t h e D. Audit Committee Following are the changes with regard to Audit Committee: (i) Two-third of the members of Audit committee shall be independent directors as against the present requirement of majority being independent; (ii) Earlier, only non-executive directors could be members of Audit committee. The revised clause has omitted this requirement. iii) All members of the Audit committee shall be financially literate (as defined in the revised clause) as against the existing requirement of at least one member having financial and accounting knowledge. (iv) Minimum number of Audit committee meetings in a year increased to 4 from 3. C. In respect of review of financial statements of unlisted subsidiary by the audit committee of holding company and placing of minutes and significant transactions entered into by subsidiary, it is significant that the words ‘material’ and ‘Indian’ solidated turnover or net worth respectively of the listed company and its subsidiaries. This definition is likely to exclude most of the unlisted subsidiaries as they are not likely to meet the turnover or net worth test. Disclosures Following new disclosure requirements have been specified in the revised clause 49: (i) Statement on transactions with related parties in the ordinary course of business shall be placed before the Audit committee periodically; (ii) Details of material individual transactions with related parties which are not in the normal course of business shall be placed before the Audit committee; and (iii) Details of material individual transactions with related parties or others, which are not on arm’s length basis should be placed before Audit committee together with management’s justification for the same. Here also, the word ‘material’ has not been defined. Listed companies should ascertain dent director on the Board of the holding company shall be a director on the board of a material non-listed Indian subsidiary company; (ii) The audit committee of the holding company shall review the financial statements, in particular, the investments made by the unlisted subsidiary company; (iii) The minutes of board meetings of the unlisted subsidiary company shall be placed at the board meeting of the holding company. The management should periodically bring to the attention of the holding company a statement of all significant transactions and arrangements entered into by the unlisted subsidiary company. (vi) The company shall disclose to the Audit committee on a quarterly basis the use of funds raised through public/ rights/preferential issues. Annually a statement showing use of funds for purposes other than those stated in Offer document/prospectus should be placed before the Audit committee. Such statement should be certified by the stat utory auditors. vii) Under ‘Remuneration of Directors’ new disclosure requirements have been prescribed, which include criteria of making payments to nonexecutive directors, shares and convertible instruments held by non-executive directors and shareholding (both own and held on beneficial basis) of nonexecutive directors to be disclosed in the notice of general meeting called for approving appointment of such director. 2002-03. The revised Clause only requires CEO and CFO to certify to the Board the annual financial statements in the prescribed format. While this certification will certainly provide comfort to the non-executive directors and will indeed act as the basis for the Board to make Directors’ Responsibility Statement in terms of section 217(2AA) of the Companies Act, 1956, it is not clear why SEBI did not require the listed companies to include such certification in the Annual Report. While the new corporate governance norms are more stringent than the existing requirements it must be appreciated that while regulations in these areas are necessary, regulations per se cannot and will not ensure good corporate governance. H. Compliance Report The format of quarterly report to be submitted to the Stock Exchanges has been revised and the new format follows the revised requirements of Clause 49. The CEO or the Compliance officer can now sign the compliance report. The annual corporate governance report should disclose adoption or non-adoption of non-mandatory requirements. G. CEO/CFO Certification This is a new requirement and is based on the Sarbanes Oxley Act of USA. This had also been recommended by the Naresh Chandra Committee set up by the Centre in I. Non-mandatory requirements Five new items have been added under non-mandatory require- ments and the existing item on Postal ballot has been deleted. The first new item states that Independent directors may not have tenure not exceeding in the aggregate a period of nine years on the Board of the company. The next item relates to companies moving towards a regime of unqualified audit report. The third item deals with training of board members in the business model of the company as well as risk profile of the business parameters of the company and responsibilities of directors and how best to discharge it. The fourth item deals with performance evaluation of non-executive directors by a peer group comprising the entire Board. The fifth item relates to setting up of a whistle blower policy in the company. While the new corporate governance norms are more stringent than the existing requirements it must be appreciated that while regulations in these areas are necessary, regulations per se cannot and will not ensure good corporate governance. Attention of readers is drawn towards the Report on Observance of Standards and Codes carried out under a joint programmed of World Bank and IMF. The assessment team had extensively interviewed issuers, institutional investors, financial institutions, market analysts, lawyers, accountants and auditors. The report was also discussed by Government of India and cleared by the DEA for publication in June 2004. Following are the areas identified for reform in the World Bank report: a. Sanctions and enforcements: Sanctions and enforcements should be credible deterrents to help align business practices with the legal and regulatory framework, in particular with regard to related party transactions and insider trading. b. The current framework places the oversight of listed companies partly with DCA, partly with SEBI and partly with Stock exchanges. This fragmented structure gives rise to regulatory arbitrage and weakens enforcement. c. If boards are to move away from simply ‘rubber stamping’ the decisions of management or promoters they must have a clear understanding of what is expected from them. They should know their duties of care and loyalty to the company and all shareholders. They should know their responsibilities and should be familiar with the changes in this regard arising from changes in laws and regulations. A key missing ingredient is a strong focus on professionalism of directors. Director training institutes can play a key capacity building role and expand the pool of competent candidates. d. Institutional investors acting in a fiduciary capacity should be encouraged to form a comprehensive corporate governance policy including voting and board representation. It will be observed that the World Bank report has stressed the need of training and updating of knowledge of directors. Unfortunately the recommendation of Murthy Committee in this regard has now been shifted as nonmandatory requirement. The rationale of industry’s objection to mandatory training, etc. of directors is not readily understandable. Hopefully, when the governance norms are reviewed next the training and knowledge updating would be made mandatory requirement. Statistics reveal that each year, approximately 400,000 infants are born to depressed mothers who are thus, at a risk of having adverse emotional, behavioral and physical health outcomes (Joy, 2011). As stated by Beck (2002), postpartum depression is â€Å"a dangerous thief that robs mothers of the love and happiness they expected to feel toward their newborn babies (Beck, 2002, p. 453)†. Studies have revealed that in short term, the mothering practices that become compromised due to the detrimental effects of PPD on the mother’s attitude towards the child include breastfeeding practices, sleep routines, visits to the well child clinic and follow-ups for vaccinations, and overall safety practices (Field, 2010). Moreover, in long-term, PPD impairs con ducive interactions between the mother and the child, negatively impacts nurturance and leads to poor parenting all of which contribute towards negative outcomes for the child, including and not limited to, poorer cognitive development, greater incidence of behavioral issues (such as antisocial and risk taking behaviors) and constrained social interactions on the part of the child such as less sociability (Beck, 2002; Field, 2010). Since this disorder is so common and has such serious and long lasting consequences, it is imperative that appropriate interventions be undertaken in a timely manner in order to prevent the occurrence of the aforementioned negative outcomes. Moreover, as pointed out before, since culture is an important determinant in the etiology of PPD, and postpartum depression has been defined as a â€Å"culture-bound syndrome† (Zubaran, Schumacher, Roxo, & Foresti, 2010) it is important for health care professionals to be aware of the role of culture in the ca usation of PPD and the management, including both diagnosis and treatment, of this disorder should be tailored using a transcultural approach. It has been elucidated that nurses play a significant role in the management of PPD, since they are involved in both screening the women for PPD and also in its treatment, including the provision of counseling services and appropriate referral services when required (Driscoll, 2006). In order to facilitate the provision of these services, nurses need to be culturally sensitive and should approach each woman keeping in mind her cultural, racial and ethnic background and offer culturally appropriate solutions accordingly (Callister, Beckstrand, & Corbett, 2010). Till date most of the literature centered around postpartum depression is predominantly quantitative in nature and the few qualitative studies that do exist focus on elucidating the role of culture in the etiology and causation of PPD. Traditional Digital Infrastructure Introduction As time goes on, our clubs are expected to have more and more of an online presence. This is especially true for those university organizations that are technology oriented. People expect us to have our own website, email, calendar and other services. Traditionally, having all these services can be costly and time consuming. However, using virtualization, many of these problems can be mitigated. In this paper we will discuss the problems faced by university organizations (thus giving us critereon for our solution), and walk through the best solution for virtualization. After reading this paper, you will fi the best solution for your specific organization. Problem With Having A Traditional Digital Infrastructure You may not think it affects your organization, but increasingly it is expected of us to have digital infrastructures. Part of maintaining a professional organization or student organi- zation with credibility is having an online presence (websites, emails, calendars, etc). This faces us with many new problems that come with having a digital infrastructure: cost, time needed, complexity, and security. Cost of Maintaining a Traditional Digital Infrastructure Traditional digital infrastructures require organizations to have servers, networking capabil- ities, and public domain names. Servers can be made out of almost any computer; however, for it to be reliable for your users it should be a dedicated and powerful machine. This is usu- ally in the form of a server blade; which can cost anywhere between $380[1] and $45,751.95[2]. Similar costs are found when buying networking equipment such as routers, switches, hubs, networking cable, etc. Then to top it all off you need a fully qualified domain name (FQDN) for people to fi your website and email. This cost is usually minimal: usually are around  $20 or so. In the end, it all adds up and can be very costly. Time Needed to Setup and Maintain a Traditional Digital Infrastructure Not only does it cost money to buy equipment, it costs time. The fi thing that has to be done is determining the specifications of the server(s) and networking equipment you need. After your organization has determined this, someone needs to search the web for the servers and networking equipment that meets these specifications for the lowest price. Then, if your universitys student clubs are organized anything like Virginia Techs, your club needs to request the funds to do so and justify it. Now, you have acquired the server and networking equipment; but, that isnt the end of your time commitment. Next step is to set it all up; which takes, someone who knows what they are doing, a few days. The servers are all set up and networked; it is time to put them on the internet. Someone needs to buy a FQDN, and assign it to the IP addresses of your servers. After all is said and done, the servers are up and running. However, this is only the beginning. As time goes on you will need to update the servers, fi errors, and change configurations based on your needs. As you can see, having a traditional digital infrastructure is very time consuming. Complexity Maintaining a Traditional Digital Infrastructure As stated in the above section, there is quite a bit of maintenance that needs to be done to servers and networking equipment: updating, debugging errors, configuring, etc. There are many diff t ways to go about doing these tasks; however, they are outside the scope of this paper. No matter the way to complete these tasks, you need to worry about the complexity of these methods. Most methods require someone who has worked in a command line interface (CLI). Otherwise, it is necessary to fi or build a graphical user interface (GUI) that everyone can understand. Making it simple to complete these tasks is important; the officers that take over after you need to be briefed on it. If it is not simple, they will probably not follow it. It will become broken, no one will use it, or even worse it could be hacked and used for malicious purposes. Simplicity is key when it comes to keeping things running smoothly. Securing A Traditional Digital Infrastructure The fi problem, but not the least important, is securing the digital infrastructure you have created. There are many people out there who would love to have the power of your server at their disposal. To keep them from gaining control of your systems it takes time, adds complexity, and may increase costs. Securing them requires someone with the time and mindset to keep up with current vulnerabilities, monitor the systems, keep them updated, and configure them. Therefore this needs to be someone who is either willing to learn, or knows what he/she is doing. This is a big and multifaceted area of the digital world, and cannot be delved into in this paper; but, it should never be taken lightly. Virtualization: The New Digital Infrastructure There is a better way to go about creating a digital infrastructure: virtualization. Virtu- alization allows you to use one server to create many virtual servers within it. All these servers are managed by what are called hypervisors. There are many companies that even provide virtualization in what is called Infrastructure as a Service (IaaS): Amazon Web Ser- vices, Rackspace, SoftLayer, and DigitalOcean (to name a few). We will be excluding these from our virtualization solutions in this paper as we are focused on hosting our own digital infrastructures. There are two types of hypervisors: type 1 and type 2. Type 1 hypervisors run directly on the hardware of the server; whereas, type 2 hypervisors run inside of an Operating System (OS)[3]. Type 1 hypervisors allow us to virtualize our services as if they were on their own physical servers and are largely more efficient than their type 2 counterparts. Type 2 hypervisors on the other hand, usually have well thought-out, and easy-to-use GUIs. As part of our critereon we are looking to reduce cost, increase fly (decrease com- plexity), and increase security. This is achieved by using type 1 hypervisors which are both efficient in their usage of server resources, but also in their programming itself: fewer lines of code means less vulnerabilities. By using up less resources, we are able to provide more services (or better services) with fewer servers thus lowering costs. Out of these type 1 hypervisors, we are looking for the cheapest ones. There are many projects via open source that provide free hypervisors. In addition, some companies have made versions of their en- terprise hypervisors free for people to use/try. This leaves us with a few options at this point: KVM, Xen, Citrix XenServer, VMWare ESXi, and Microsoft Hyper-V. The next critereon was the time necessary to setup and maintain this digital infrastructure. Naturally by using virtualization we have reduced the number of physical servers to take care of. All of the above hypervisors have large wikis and support communities[4, 5, 6, 7, 8, 9, 10, 11, 12]. However, two of these communities VMWares and Microsofts arent as varied as those of the OpenSource community, and must be paid for to get quality customer support. Our second to last critereon was the complexity of the solution. From personal experience, all three of these solutions are very simple. However, not all three are very fl Citrix XenServer is OpenSource, but requires a host OS of Microsoft origins. This means one would have to have Windows installed on the server. Thus reducing the amount of fl y one has with the configuration of the server. The other two, KVM and Xen, are both OpenSource and Linux based: allowing for the most customizability. Xen used to be the best type 1 hypervisor in use, and is still used by major companies such as AWS[13]. However, recently Linux has been moving further and further away from Xen. From my experience, it has been relatively diffi to get an up-to-date version of Xen running on many Linux distros that are supported. This is not a problem, as KVM is absolutely comparable, and was recently added into the Linux kernel. Thus, KVM can be used on any base Linux distro and can  even run Windows OSes, Linux, and with some tweaking Mac OSX. Finally, security is our last critereon. As discussed, the fewer lines of code, ostensibly the more secure the hypervisor is. Looking at Xen and KVM, both have extremely small amounts of base code; however, KVM, being part of the linux kernel, is smaller. It is also more integrated into the most secure part of the Linux OS, and is thus considered more secure. In addition, both are OpenSource, allowing them to be reviewed by hundreds of thousands of people. Thus security is inherent with these two hypervisors. Conclusion University Clubs are requried increasingly to have digital infrastructures for websites, email, and calendars. However, creating and maintaining traditional infrastructures is costly, time consuming, diffi and can be insecure. Virtualization has become the best way for com- panies and clubs to provide a digital infrastructure in the most efficient and cost effective manor. More specifically for clubs, KVM seems to be the best solution, and the easiest to implement on a server. Many ask whether it was justified to internment them. It is a very delicate issue that has two sides, those who are against the internment of the Japanese-Americans and those who are for it. With World War II raging in the East, America was still, for the most part, very inactive in the war. When America took a stand against Japan by not shipping them supplies, Japan became very upset. Japan, being a big island that is very overpopulated with little natural resources, depended on America to provide them with an assortment of supplies including scrap metal and oil, vital items that are needed in a time of war. Japan retaliated by declaring war on America and attacking Pearl Harbor. This surprise act led to many soldiers deaths and millions of dollars of damaged army equipment, including air craft carriers and planes. As a result to Japan declaring war, the Japanese-Americans were asked to and eventually forced to do their duty to the country and report to internment camps until the war conflict was over. Many opposed this act for a couple of reasons. One reason was that people felt that it was a huge hypocrisy that the Japanese were being interned while the Italians and Germans, also our enemies, were still walking around free in America. Another reason why many were against the internment was because many of the Japanese had already been in America for some time now. The Issei, the first generation of Japanese people that immigrated from Japan, had immigrated many years ago. A whole another generation of Japanese children had already began growing up in America called the Nissei. They were automatically U.S. citizens for they were born in America and for the most part were like other American children. Anti-Internment activists also said that the Japanese were being robbed of their rights as U.S. citizens. Teaching children to be assertive having their own needs meet but still respecting other feeling and need. 6. 2 It is important to support resilience in children and young people has it helps them deal with life’s ups and downs. It helps them deal with stressful situations and to cope with change and uncertainty. The more resilience a child or young person has the better they will deal with life as they grow and develop into adulthood. There are many factors that can positively affect Childs resilience: †¢Secure early attachments †¢Confidence of being loved by family and friends †¢Good sense of self identity †¢Confidence to try new things Children that do not tick all the factors may need more help to improve their resilience and boost their self-esteem. 6. 3 children and young people need to have strategy to protect them so they are able to access risks and enable them to make decisions about their own safety. There are many ways children can be supported to keep themselves safe. It is important that they are taught about dangers; such as using outdoor equipment that may have higher risks of danger and the dangers involved in substances. I feel it is also important that a child is made aware that not all adults are safe to approach and should be taught to beware of strangers. A child should never have to feel scared or uncomfortable about someone they are with or something being done to them. 6. everyone working with children needs to support them to help them keep safe and help to support their own well being this can be achieved by helping them to understand boundaries by reinforcing issues when they arise in a positive manner such as taking turns, no pushing, being patient, understanding some children take more time than others to complete tasks, everyone has their own individual ways of completing tasks, letting them resolve their own conflicts when possible. Promote positive relations hips whether child to child, child to adult, adult to adult or adult to child. Let them lead their own activity without guided instructions to let them see what needs to be done and how they can achieve this. We all learn by taking risks so when a child wants to take a risk, be there to help them and support them, whether it be physically (e. g. Supporting them whilst they go down a climbing frame backwards by being there ready to catch them if needed or adjust their positioning of arms or legs ect,) or verbally (encourage them that they can do it and offer them support in doing what they would like to achieve). Never let a child take a risk that could cause significant harm to themselves or others.

Tranformational Leadership And Mahatma Ghandi According to Yukl (2010), leadership is the process of influencing others to understand and agree about what needs to be done and how to do it, and the process of facilitating individual and collective efforts to accomplish shared objectives. To put it simply leadership is the art of motivating a group of people to act towards achieving a common goal. The leader is the inspiration. He/she is the person in the group that possesses the combination of personality and skills that make others want to follow his/her direction. Gandhi tells us a tale of how a person can make a difference. The movie describes how he changes the perspective of people and creates a revolutionary change. He was the pre-eminent political and ideological leader of India during the Indian independence movement. He led the non-violence resistance movement against the British colonial rule in India during the first half of the twentieth century. He pioneered Satyagraha which is defined as the resistance to oppression through mass civil disobedience, a philosophy firmly founded upon ahimsa, or total non-violence. This concept not only helped India gain independence but also inspired movements for civil rights and freedom across the world. Known as Mahatma (great soul), Gandhi was the leader of the Indian nationalist movement against British rule, and is widely considered as the father of the nation. His doctrine of non-violent protests, through his weapons of truth and love to achieve political and social progress has been largely influential to leaders across the world. (BBC on Gandhi) The following section deals with several leadership theories that can be used to explain Gandhis leadership style as portrayed in the movie (Gandhi, 1982). TRANSFORMATIONAL LEADERSHIP THEORY According to Bass (1985, 1996), the leader transforms and motivates followers by making them more aware of the importance of task outcomes, inducing them to transcend their own self interest for the sake of the organization or team, and activating their higher order needs. (Yukl, 2010) Transformational leadership increases follower motivation and performance. The extent, to which a leader is transformational, is measured in terms of his influence on the followers. The followers of such a leader feel trust, admiration, loyalty and respect for the leader and because of these qualities of the transformational leader are willing to work harder than originally expected. These outcomes occur because the transformational leader offers followers something more than just working for self gain; they provide followers with an inspiring mission and vision, and provide them an identity. The leader creates positive change in the followers and induces people to be aware of what they feel to feel their true needs so strongly, to define their values so meaningfully, that they can be moved to purposeful action. In this leadership style, the leader also enhances the motivation, performance and morale of his follower group. Gandhi demonstrated transformational leadership. His followers were influenced by his drastic method of nonviolent protests and he instilled trust, loyalty, admiration and respect amongst his followers. He also transformed his followers in a literal sense changed them in mind and heart, enlarged vision and clarified purposes to make behaviour congruent with his beliefs, principles and values. Bass (1996) further described four types of transformational leadership behaviour Idealized influence, intellectual stimulation, individualized consideration and inspirational motivation. Gandhi talked about truth and love and preached the same through his non-violence resistance movements such as satyagraha and non-cooperation. Intellectual stimulation Behaviour that increases follower awareness of problems and influences followers to view problems from a new perspective. Gandhi held several meetings to talk about the issues faced by people and the importance of following his values to fight for the countrys independence. He also ensured that his beliefs were followed in the manner as he preached. Individualized consideration Involves communicating personal respect to followers by providing support, encouragement and coaching. Gandhi was interactive, spoke to everyone and knew what was happening in their lives. Got involved with everyone and made them feel important by providing support whenever possible. Inspirational motivation Inspiring and empowering followers to enthusiastically accept and pursue challenging goals and missions. Gandhi inspired his followers through his principles and protests for which he was also sent to prison on various occasions. He was determined that his beliefs would finally attain swaraj (independence). Two key effects that transformational leaders achieve are to evoke strong emotions and cause identification of the followers with the leader. Mahatma Gandhi is a great example of a transformational leader because of his contribution not just to his country but to social thinking around the world that inspired many other different world leaders. Gandhi is considered as one of the few individuals who embodied the ideals of a transformational leader. SERVANT LEADERSHIP THEORY Servant leadership is primarily about helping people and fostering a relationship of trust and cooperation. Servant leaders must listen to followers; learn about their needs and aspirations, stand for what is good and right, oppose social injustice and inequality, must respect and appreciate the weak and marginal members of society and also empower followers instead of using power to dominate them. Greenleaf (1977) proposed that service to followers is the primary responsibility of leaders. The servant leader is a servant first. It begins with the natural feeling that one wants to serve, to serve first. Another important quality of a servant leader is the ability to accept his people unconditionally. It is creative as it stems from a genuine concern for the people rather than external motivations such as the need for power. It also leads to larger issues as it ultimately leads to a desire to serve the society at large. A servant leader is motivated, not by a desire to control others, but by a desire to help them realize their dignity and power. Gandhi preached non-violence and dedicated his life to the achievement of a better life for the downtrodden. He served as a catalyst and example, providing vision and inspiring hope. He empowered the masses to march to the sea to make salt. In doing so they demonstrated their capacity for self governance and impressed upon history a very powerful image. One of the key qualities of the true servant leader is that he is chosen by the people. When Gandhi was returning to India after the conclusion of the case for which he had gone to South Africa, he was given a farewell party. Over there, he expressed his concerns for the bill that was then before the House of Legislature that sought to deprive Indians of their franchise. Before he quite knew it, he had been elected by the people to stay on and fight for their rights. This was the beginning of his mission to serve humanity Servant leaders transform people and bring out what they themselves dont suspect is in them. Gandhi did the same with the Indian masses during their struggle for independence. Gandhi also stated that service to the poor has been my hearts desire and it has always thrown me amongst the poor and enabled me to identify myself with them. Hence we can say that Gandhi was the quintessential servant leader. Key values of a servant leader with examples from the movie- Integrity Gandhi always communicated in an open and honest way. He only preached what he practiced himself and which were consistent with his values. He admitted and accepted responsibility for mistakes and never attempted to manipulate or deceive people. For example Gandhi swore to speak the truth and advocated others to do the same. Altruism Gandhi was willing to make sacrifices to protect and benefit others and always put the needs of others ahead of his own needs. For instance his hunger strike for activities which he believed were wrong such as riots between Hindus and Muslims, his march to the sea to make salt as he believed the British Empires monopoly of salt was wrong. Humility Gandhi always treated others with respect, avoided status symbols and special privileges and was always modest about his achievements. For illustration he respected his colleagues as well as people from all castes and creed. Despite being proclaimed a leader by the masses he always emphasized that he was not a leader and lived in modesty in a village in India with only the basic essentials required by a human being. He also spun the cloth that he wore which was the khadi. Empathy and healing Gandhi helped others cope with emotional distress, encouraged forgiveness and reconciliation after a conflict and acted as a peacemaker. For example upon his return to India he travelled various regions of the country and met with a lot of villagers who were suppressed by the landlords, given measly compensation and lived in extreme poverty. He heard their stories and provided them courage to protest against the landlords for which he was sent to prison also. Also to act as a peacemaker for the religious tensions within the country he stated that I am a Muslim and a Hindu and a Christian and a Jew and so are all of you. Fairness and justice Gandhi encouraged and supported the fair treatment of people, spoke against unjust and unfair policies and opposed violations of civil rights. For instance when he realized that the laws in South Africa were biased against the Indians, he decided to start a non-violent protest campaign to obtain basic rights for all Indians. He quoted that The function of a civil resistance is to provoke response and we will continue to provoke until they respond or change the law. They are not in control; we are. The government finally relented by recognizing rights for Indians. DEVELOPMENT OF A LEADER Leadership can be learnt unlike the trait theory which states that leaders are born with certain characteristics that make them a leader. The development of Gandhi as a leader explains how people or environments affect the actions of leaders. Gandhi was not a leader by birth, he developed the skills required to be an effective leader. In the movie it is very explicitly clear that Gandhi learnt and developed his leadership skills in South Africa and honed them in India. He had a feeling for his followers, but he developed tools and methods to become an effective leader over time. He had rock solid values from which his activities stemmed, and he had a totally interdependent relation with his followers.
